DESCRIPTION OF THE FINANCING ENTITY

PROPOSED STRUCTURE

The Denver Urban Renewal Authority (DURA) is the proposed Financing Entity for and administrator of the state sales tax incre-

ment funds and will receive 100% of the increment. DURA will act as a pass-through agency, with funds transferred periodically

to the CCD/NWC governance structure, which will oversee the design, construction and governance of the NWC. DURA will

assume all responsibilities dictated by OSPB and OEDIT including all due diligence, audit and annual reporting duties.

CONTRACTUAL AGREEMENTS

Should RTA funds be awarded for the National Western Center, DURA will enter into an agreement or agreements with the State

of Colorado and other entities in order to receive and distribute sales tax increment funds from the state as may be required for

the financing and construction of the project.
